Welcome to Web Design Cap. These Terms and Conditions govern your access to and use of our website, digital marketing services, SEO subscription services, web design services, website maintenance services, hosting-related services, consulting, and any other services provided by Web Design Cap.

By using our website, submitting a form, requesting a quote, making a payment, subscribing to an SEO plan, approving a proposal, or continuing to use our services, you agree to be bound by these Terms and Conditions.

If you do not agree with these Terms, you must not use our website or services.

1. Definitions

In these Terms:

“Web Design Cap,” “we,” “us,” or “our” means Web Design Cap and its owners, team members, contractors, subcontractors, and authorized representatives.

“Client,” “you,” or “your” means any person, business, organization, or representative who uses our website, purchases a service, subscribes to a service plan, or communicates with us about our services.

“Services” means web design, SEO, website maintenance, hosting assistance, social media management, content creation, consulting, branding, technical support, digital marketing, and any related service provided by Web Design Cap.

“Subscription” means a recurring service plan purchased through our website, including SEO subscription packages or monthly marketing plans.

“Stripe” means the third-party payment processor used by Web Design Cap to process card payments, recurring subscriptions, billing, invoices, receipts, and certain payment records.

2. Acceptance of These Terms

By accessing our website, purchasing a service, subscribing to a package, approving work, or communicating instructions to us by email, message, phone, form submission, or any other written or electronic method, you confirm that:

You have read and understood these Terms.

You have authority to act on behalf of the business or organization you represent.

You agree to pay all applicable fees, taxes, subscription charges, and approved project costs.

You understand that digital marketing, SEO, web design, and online business growth services involve many external factors outside our control.

You agree that your purchase, subscription, or continued use of services creates a binding agreement between you and Web Design Cap.

3. Our Services

Web Design Cap may provide services including, but not limited to:

Website design and redesign.

WordPress website development.

Website maintenance.

Search engine optimization.

Local SEO.

Technical SEO.

On-page SEO.

Landing page creation.

Google Business Profile optimization.

Social media content creation.

Digital marketing consulting.

Hosting setup or hosting support.

Domain and DNS support.

Graphic design or visual content support.

The exact scope of work depends on the package, proposal, subscription, invoice, contract, written agreement, or service description accepted by the Client.

4. SEO Subscription Through Stripe

SEO subscription services purchased through our website are processed through Stripe, our third-party payment processor.

By subscribing to an SEO plan or any recurring service through our website, you understand and agree that:

The subscription payment is handled by Stripe.

Your card information is processed by Stripe, not directly stored by Web Design Cap.

Your subscription may automatically renew based on the billing frequency shown at checkout, invoice, proposal, or subscription page.

By entering your payment information and completing the subscription checkout, you authorize Stripe and Web Design Cap to charge your selected payment method for recurring subscription fees, applicable taxes, approved add-ons, and any unpaid balances.

Your Stripe receipt, invoice, checkout confirmation, subscription record, and payment history may be used as evidence of your agreement to purchase and continue the subscription.

Your subscription remains active unless cancelled according to these Terms or any separate written agreement.

Stripe is a third-party processor, and your use of Stripe may also be subject to Stripe’s own terms, privacy policy, and payment-processing rules. Stripe’s Canadian Services Agreement was updated November 18, 2025, and Stripe provides recurring-payment infrastructure for subscriptions.

5. Subscription Authorization

When you subscribe through our website, you agree that:

You intentionally selected a recurring service.

You authorized recurring billing.

You had the opportunity to review the service description, price, billing frequency, and checkout details before payment.

The subscription is not a one-time payment unless clearly stated.

You are responsible for ensuring your payment method remains valid.

Failed payments may result in service suspension, late fees, collection efforts, or cancellation of services.

You must not initiate a payment dispute or chargeback for a valid recurring charge without first contacting Web Design Cap and allowing us a reasonable opportunity to review and resolve the matter.

6. Subscription Renewal and Cancellation

Unless otherwise stated in writing, monthly SEO and marketing subscriptions renew automatically each billing cycle.

To cancel a subscription, the Client must provide written notice to Web Design Cap by email or through another written method accepted by us.

Unless a different cancellation period is stated in a signed agreement, contract, or proposal, we require two months’ written notice to cancel recurring SEO, marketing, social media, maintenance, or similar ongoing services.

The Client remains responsible for all fees due during the notice period.

Cancellation does not remove the Client’s responsibility to pay outstanding balances, completed work, committed work, third-party expenses, software costs, advertising spend, hosting fees, or other approved charges.

Where applicable law requires a different cancellation right, notice period, refund rule, or renewal notice, the applicable law will apply.

BC consumer-protection guidance says businesses should be clear about online contract rules and refunds, and upcoming subscription rules include notice requirements before certain automatic renewals and before changes to subscriptions.

7. Refund Policy

All payments are generally non-refundable once work has started, services have been delivered, strategy has been prepared, content has been written, technical work has been performed, or time has been allocated to the Client.

Subscription fees are not refundable for billing periods that have already started, unless required by law or agreed in writing by Web Design Cap.

Refunds are not provided for:

SEO work already completed.

Monthly strategy work.

Keyword research.

Content planning.

Blog writing.

On-page SEO.

Technical SEO.

Social media planning or posting.

Website audits.

Consulting time.

Design concepts.

Development time.

Plugin, theme, software, or third-party expenses.

Hosting or domain-related costs.

Work delayed because the Client failed to provide access, content, feedback, approvals, passwords, images, business information, or required materials.

Refund requests must be submitted in writing. We will review refund requests based on the scope of work, completed tasks, payment history, applicable law, and any written agreement between the parties.

8. Chargebacks and Payment Disputes

If you believe a charge is incorrect, you must contact Web Design Cap first before initiating a chargeback or dispute with your bank or card provider.

You agree not to file a false, misleading, or bad-faith dispute for services that were authorized, purchased, subscribed to, delivered, partially delivered, or made available to you.

If a chargeback or dispute is filed, Web Design Cap may submit evidence including, but not limited to:

Stripe payment records.

Subscription confirmation.

Website checkout records.

Invoices.

Receipts.

Email communications.

Text messages.

Project history.

Website access logs.

Screenshots of completed work.

SEO reports.

Social media posts.

Website updates.

Published pages.

Contracts or proposals.

Terms and Conditions.

Client approvals.

Proof of service delivery.

Stripe states that merchants may counter disputes by submitting an organized evidence packet, and that the card issuer ultimately makes the final decision on the dispute.

If a dispute, chargeback, or failed payment results in fees, penalties, reversal charges, collection costs, legal costs, or administrative time, Web Design Cap reserves the right to recover those amounts from the Client where permitted by law.

If a Client initiates a chargeback, payment dispute, reversal, or bank claim after receiving services, Web Design Cap may treat the Client account as not in good standing until the matter is resolved. During this time, Web Design Cap may pause service delivery, suspend new work, decline handover requests, withhold administrative transfer support, and recover any disputed amounts, chargeback fees, administrative time, collection costs, and legal costs where permitted by law.

A payment processor or card issuer decision does not prevent Web Design Cap from pursuing unpaid balances, disputed service fees, chargeback-related costs, or other amounts through collection, settlement, tribunal, court, or any other lawful process.

9. Taxes

All prices are subject to applicable taxes unless clearly stated otherwise.

For clients in British Columbia or Canada, applicable taxes may include GST, PST, HST, or other required taxes depending on the service, location, and applicable law.

The Client is responsible for paying all applicable taxes related to services purchased from Web Design Cap.

10. Client Responsibilities

The Client agrees to provide all information, access, content, approvals, credentials, and materials required for Web Design Cap to perform the services.

This may include:

Website login access.

Hosting access.

Domain registrar access.

Google Business Profile access.

Google Analytics access.

Google Search Console access.

Social media access.

Branding files.

Images.

Logos.

Business descriptions.

Service information.

Product information.

Legal or regulatory disclaimers specific to the Client’s industry.

Approval of designs, pages, posts, and campaigns.

The Client is responsible for ensuring that all materials provided to Web Design Cap are accurate, legal, original, properly licensed, and do not infringe any third-party rights.

Delays caused by missing information, late feedback, lack of access, or delayed approvals are not the responsibility of Web Design Cap and do not pause billing unless agreed in writing.

11. Access, Passwords, and Credentials

The Client may be required to provide access to websites, hosting accounts, domain accounts, plugins, software, analytics tools, social media accounts, or third-party platforms.

The Client is responsible for maintaining ownership of their own accounts, passwords, domain names, hosting plans, payment accounts, and business profiles.

Web Design Cap may assist with setup, configuration, or management, but unless otherwise agreed in writing, the Client remains the owner of their business assets.

Web Design Cap may withhold transfer support, migration assistance, final files, credentials created by us, or administrative handover work until all outstanding invoices, subscription fees, cancellation notice fees, approved expenses, and unpaid balances are paid in full, subject to applicable law.

12. Website Ownership and Final Delivery

Unless otherwise stated in writing:

The Client owns the final website content, pages, and design elements created specifically for the Client after full payment has been received.

Web Design Cap retains ownership of its internal processes, frameworks, templates, reusable code, design methods, SEO systems, strategy documents, checklists, proprietary workflows, and know-how.

Third-party themes, plugins, stock images, fonts, software, and licensed assets remain subject to their own licences and terms.

Final ownership transfer does not occur until all project fees, subscriptions, approved add-ons, taxes, and outstanding balances are paid in full.

13. Third-Party Tools, Plugins, Themes, Software, and Platforms

Web Design Cap may use third-party tools, plugins, themes, platforms, APIs, software, analytics systems, payment processors, hosting providers, email providers, booking tools, social media platforms, AI tools, SEO tools, and other services.

The Client understands that third-party platforms may change pricing, terms, features, policies, performance, availability, or access at any time.

Web Design Cap is not responsible for failures, outages, restrictions, suspensions, price increases, policy changes, account bans, plugin conflicts, API changes, or data loss caused by third-party services.

The Client is responsible for paying third-party costs unless otherwise agreed in writing.

14. SEO Disclaimer

SEO is a long-term marketing service and does not guarantee specific rankings, traffic, leads, sales, revenue, search impressions, conversions, map-pack placement, or first-page results.

Search engines such as Google use complex algorithms and may change ranking factors, indexing systems, display layouts, AI-generated search results, local-pack results, advertising visibility, spam policies, and technical requirements at any time.

The Client understands that SEO results depend on many factors outside Web Design Cap’s control, including:

Competition.

Website history.

Domain authority.

Backlink profile.

Content quality.

Technical structure.

Google algorithm changes.

User behaviour.

Reviews.

Business reputation.

Market demand.

Client budget.

Client cooperation.

Website speed.

Hosting quality.

Industry difficulty.

Geographic competition.

Search engine decisions.

Web Design Cap agrees to provide professional SEO work based on reasonable industry practices, but we do not guarantee a specific ranking position, timeline, number of leads, revenue amount, or business outcome.

15. Digital Marketing and Advertising Disclaimer

For paid advertising, social media, content marketing, email marketing, and other campaigns, Web Design Cap does not guarantee specific impressions, clicks, leads, conversions, followers, engagement, sales, revenue, or return on investment.

Advertising platforms may reject ads, restrict accounts, increase costs, reduce reach, change policies, or suspend campaigns.

The Client is responsible for ensuring their products, services, offers, claims, promotions, and business practices comply with applicable laws and advertising platform policies.

16. Content Disclaimer

Web Design Cap may create written content, website copy, blogs, captions, metadata, SEO text, landing pages, or other marketing content.

The Client is responsible for reviewing and approving all content before publication.

The Client must verify factual claims, industry-specific rules, legal statements, medical claims, financial claims, regulated-service claims, pricing, service details, warranties, licensing, professional qualifications, and any other business-specific information.

Web Design Cap is not a law firm, accounting firm, medical provider, financial advisor, or regulated industry expert unless expressly stated in writing.

17. Confidentiality

Both Web Design Cap and the Client agree to keep confidential information private.

Confidential information may include:

Business plans.

Login credentials.

Client lists.

Pricing.

Internal documents.

Marketing strategies.

Unpublished content.

Technical systems.

Website data.

Analytics data.

Financial information.

Personal information.

Trade secrets.

Project communications.

Neither party may disclose confidential information to third parties except where required to perform the services, comply with law, work with authorized contractors, use necessary third-party tools, process payments, resolve disputes, or enforce these Terms.

Web Design Cap may work with contractors, designers, developers, writers, SEO specialists, hosting providers, software providers, or other service providers when reasonably required to perform services.

18. Privacy and Personal Information

Website URL.

Billing details.

Payment status.

Project information.

Messages and communications.

Technical website information.

Analytics and usage information.

Payment card details are processed by Stripe and are not directly stored by Web Design Cap.

A separate Privacy Policy may provide more details about how personal information is collected, used, stored, and protected.

These may include:

Project updates.

Invoices.

Receipts.

Subscription notices.

Renewal reminders.

SEO reports.

Website alerts.

Account notices.

Service recommendations.

Marketing communications may be sent only where permitted by applicable law. Canada’s Anti-Spam Legislation generally requires consent, sender identification, and an unsubscribe mechanism for commercial electronic messages.

You may unsubscribe from marketing emails where applicable, but we may still send necessary transactional, billing, legal, or service-related communications.

20. Portfolio and Marketing Use

Unless the Client requests otherwise in writing, Web Design Cap may display completed work, screenshots, website links, public business names, logos, case studies, testimonials, ranking improvements, design examples, or general project descriptions in our portfolio, proposals, social media, website, and marketing materials.

We will not intentionally disclose confidential business information without permission.

21. Reviews and Testimonials

If the Client provides a review, testimonial, message, comment, or feedback, the Client grants Web Design Cap permission to use it for marketing, website content, social media, proposals, and promotional materials.

We may edit testimonials for spelling, grammar, formatting, or length, provided the meaning is not materially changed.

22. Project Timelines

Any timeline, launch date, completion date, ranking estimate, delivery date, or milestone is an estimate unless expressly stated as guaranteed in writing.

Timelines may be affected by:

Client delays.

Missing access.

Late feedback.

Scope changes.

Third-party issues.

Hosting problems.

Plugin conflicts.

Technical complexity.

Payment delays.

Platform restrictions.

Unexpected errors.

Additional requests.

Web Design Cap is not responsible for delays caused by the Client or third parties.

23. Revisions and Scope Changes

Each project or service includes only the work described in the accepted proposal, invoice, package, subscription, or written agreement.

Additional work may require additional fees.

Examples of additional work include:

24. Maintenance and Support

New page design.

Major redesigns.

SEO strategy.

Paid advertising.

Advanced development.

Plugin licence fees.

Hosting fees.

Malware recovery.

Content writing.

E-commerce management.

Emergency support.

Unless included in a written agreement, these services may be billed separately.

25. Hosting and Domain Disclaimer

In some cases, Web Design Cap may register, purchase, renew, configure, host, or manage a domain name, hosting account, DNS records, SSL certificate, email setup, website files, or related technical infrastructure on behalf of a Client.

Unless there is a separate written agreement confirming that a domain, hosting account, registrar account, or related technical asset has been transferred to the Client, any domain, hosting, DNS, registrar, or technical asset registered or maintained through Web Design Cap’s own accounts remains administered through Web Design Cap until a formal handover or transfer is completed.

Payment for website design, SEO, hosting support, domain registration cost, renewal cost, or related technical assistance does not automatically include transfer of Web Design Cap’s registrar account, hosting account, software licences, premium plugin licences, server access, DNS management account, or agency infrastructure.

If a Client requests a domain transfer, EPP/Auth code, DNS change, website backup, hosting access, registrar transfer, or full technical handover, the request must be made in writing. Web Design Cap may require:

  1. Written authorization from the business owner or authorized representative;
  2. Confirmation of the requested handover scope;
  3. Payment of all outstanding invoices, subscription fees, disputed amounts, chargeback fees, cancellation notice amounts, approved expenses, and administrative handover fees;
  4. A written handover agreement confirming what is being transferred and what remains the property or responsibility of Web Design Cap.

Web Design Cap may withhold, delay, or decline transfer support, EPP/Auth code release, DNS changes, hosting access, website backups, credentials, or administrative handover work where the Client account has unpaid invoices, unresolved chargebacks, active payment disputes, unpaid cancellation notice fees, outstanding balances, or unresolved ownership/account issues, subject to applicable law.

Nothing in this section transfers ownership of Web Design Cap’s internal systems, agency accounts, workflows, software licences, templates, proprietary tools, reusable code, or third-party licences unless specifically agreed in writing.

26. Security Disclaimer

Web Design Cap takes reasonable steps to support website security when security services are included in the Client’s package.

However, no website, server, software, plugin, theme, platform, or online system can be guaranteed to be completely secure.

The Client understands that websites may be affected by hacking, malware, brute-force attacks, plugin vulnerabilities, weak passwords, outdated software, hosting issues, third-party breaches, user error, or other risks.

The Client is responsible for using secure passwords, protecting account access, maintaining proper permissions, and following recommended security practices.

27. Backups

Where backup services are included, Web Design Cap may configure or manage backups using hosting tools, plugins, or third-party services.

Backups are provided as a best-effort service and are not a guarantee against data loss.

The Client is encouraged to maintain independent backups of important website files, databases, emails, and business records.

28. Client Approval

The Client is responsible for reviewing all work submitted for approval.

Approval may be given by email, message, phone confirmation followed by written communication, payment, publication request, continued use, or lack of objection after reasonable notice.

Once work is approved, additional changes may be billed separately.

29. Non-Payment

If payment is late, declined, disputed, reversed, or not received, Web Design Cap may:

Pause services.

Suspend subscriptions.

Stop work.

Withhold deliverables.

Remove unpaid work where permitted.

Disable access to services managed by us where permitted.

Charge late fees where allowed.

Refer the matter to collections.

Recover legal or collection costs where permitted.

Terminate the agreement.

The Client remains responsible for all unpaid amounts.

30. No Guarantee of Business Results

Web Design Cap provides professional digital services, but we do not guarantee that the Client will receive any specific amount of traffic, ranking, revenue, leads, sales, profit, followers, engagement, bookings, phone calls, or business growth.

The Client understands that business results depend on many factors outside our control.

31. Limitation of Liability

To the maximum extent permitted by law, Web Design Cap is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, loss of rankings, loss of traffic, business interruption, or missed opportunities.

To the maximum extent permitted by law, Web Design Cap’s total liability for any claim related to the services is limited to the amount paid by the Client to Web Design Cap for the specific service giving rise to the claim during the three months before the claim arose.

Some laws may not allow certain limitations, so these limitations apply only to the extent permitted by applicable law.

32. Indemnification

The Client agrees to indemnify and hold harmless Web Design Cap from claims, damages, losses, liabilities, costs, expenses, legal fees, and third-party claims arising from:

Client-provided content.

False or misleading information provided by the Client.

Copyright or trademark infringement.

Client products or services.

Client violation of laws.

Client violation of platform policies.

Client failure to pay.

Unauthorized account access caused by the Client.

Client misuse of our services.

Disputes with the Client’s customers.

Claims related to the Client’s industry, licensing, advertising, or business practices.

33. Intellectual Property

All intellectual property created specifically for the Client as part of a paid project transfers to the Client only after full payment is received, unless otherwise stated in writing.

Web Design Cap retains ownership of:

Internal systems.

Templates.

Processes.

Methods.

Frameworks.

Code snippets.

Proprietary tools.

Strategy models.

SEO processes.

Reusable design elements.

Training materials.

Pre-existing intellectual property.

The Client may not copy, resell, reproduce, distribute, or reuse Web Design Cap’s proprietary systems, templates, or documents without written permission.

34. Third-Party Intellectual Property

The Client is responsible for ensuring they have the right to use any logos, images, videos, fonts, copy, documents, trademarks, brand assets, product images, testimonials, music, or other materials provided to Web Design Cap.

Web Design Cap is not responsible for intellectual-property claims related to materials supplied by the Client.

35. Legal and Regulatory Compliance

The Client is responsible for ensuring their website, business, advertising, claims, offers, terms, privacy policy, refund policy, industry statements, and customer communications comply with applicable laws.

This is especially important for regulated industries including, but not limited to:

Healthcare.

Pharmacies.

Finance.

Insurance.

Legal services.

Real estate.

Mortgage services.

Accounting.

Construction.

Alcohol.

Tobacco.

Cannabis.

Supplements.

Employment.

Education.

Professional services.

Web Design Cap may provide general marketing suggestions but does not provide legal advice.

36. Account Suspension or Termination

Web Design Cap may suspend or terminate services if:

The Client fails to pay.

The Client files an improper dispute.

The Client refuses to cooperate.

The Client provides false information.

The Client engages in abusive, threatening, illegal, or unethical conduct.

The Client requests illegal or harmful services.

The Client violates these Terms.

A third-party platform restricts or suspends the Client’s account.

Continuing the relationship creates legal, financial, operational, or reputational risk for Web Design Cap.

Termination does not remove the Client’s responsibility to pay outstanding amounts.

37. Force Majeure

Web Design Cap is not responsible for delays or failures caused by events outside our reasonable control, including natural disasters, power outages, internet outages, cyberattacks, illness, labour disruptions, government actions, war, platform outages, payment processor issues, hosting outages, software failures, third-party service failures, or other events beyond our control.

38. Dispute Resolution

Before starting any legal action, both parties agree to first attempt to resolve disputes in good faith through written communication.

The Client must provide written details of the issue and allow Web Design Cap a reasonable opportunity to investigate and respond.

Nothing in this section prevents either party from seeking urgent legal remedies where necessary.

39. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

Any dispute related to these Terms, our website, or our services will be handled in the courts or appropriate legal forum located in British Columbia, unless applicable law requires otherwise.

40. Changes to These Terms

Web Design Cap may update these Terms from time to time.

The updated version will be posted on our website with a revised “Last Updated” date.

Continued use of our website or services after changes are posted means you accept the updated Terms.

For active subscriptions, where required by law, we will provide notice of material changes that negatively affect the Client’s rights or obligations.

41. Entire Agreement

These Terms, together with any accepted proposal, invoice, checkout page, subscription confirmation, written contract, statement of work, or written communication, form the entire agreement between the Client and Web Design Cap.

If there is a conflict between these Terms and a signed written contract, the signed written contract will control only for that specific conflict.

42. Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, the remaining parts will continue to apply.

43. No Waiver

If Web Design Cap does not enforce a right under these Terms, it does not mean we waive that right.
